Terms of Service

These Terms of Service ("Terms") govern your use of the SchoolOS platform operated by Codivant Limited, a Nigerian company registered with the Corporate Affairs Commission under registration number 9101806with its registered office at 29 Pipeline Road, Oke-Agaye, Ijeodo, Ikotun, Lagos State, Nigeria ("Codivant", "we", "us", "our").
By accessing or using SchoolOS, you agree to be bound by these Terms. If you do not agree, you must not use the platform.
1. The parties
These Terms describe the rights and obligations of three parties:
- Codivant Limited
- The platform provider. Codivant operates the SchoolOS software, provides hosting and security infrastructure, and integrates with third-party services (payment, messaging, storage) on behalf of schools.
- Schools
- The paying customers. A school registers a SchoolOS account, uses the platform to run its day-to-day operations, and is the merchant of record for fees collected from parents through the platform.
- End users
- Individuals who use SchoolOS on behalf of a school: administrators, bursars, teachers, and parents. End users are invited by their school's administrator; SchoolOS does not offer self-registration for end users.
2. Account registration and access
To register a school account, the school's authorised representative must complete the registration form on codivanttech.com/register, provide accurate information about the school, and agree to these Terms.
Each school is responsible for keeping its account credentials secure and for the actions of every end user it invites. We may suspend or terminate access if we reasonably believe an account has been compromised or is being used to violate these Terms.
3. Payments through the platform
SchoolOS allows schools to collect fees from parents through online payment integrations. The mechanics are:
- The school is the merchant of record. Parents pay fees owed to the school; the school is responsible for the goods and services the fees relate to (tuition, books, transport, etc.).
- Codivant Limited provides the software infrastructure that issues invoices, accepts payment requests, forwards them to the payment processor, and records receipts. Codivant does not collect, hold, or transmit funds on its own behalf.
- Paystack Payments Limitedis the payment processor that actually moves money from parents to schools. Paystack is licensed by the Central Bank of Nigeria. Use of the online payment rail is also subject to Paystack's own terms, available at paystack.com/terms.
- A platform feeof 1.5% of each online payment (configurable per school, may be negotiated lower at onboarding) is automatically deducted from each online transaction and remitted to Codivant Limited. The remainder is settled by Paystack directly into the school's bank account. Manual payments (cash, bank transfer, POS, cheque) recorded off-platform by the bursar do not attract a platform fee.
4. Refunds
Refunds for fees paid through SchoolOS are handled by the individual school, not by Codivant Limited. Codivant's role is limited to providing the software tools for the school's bursar to flag a refund and produce an audit trail.

5. Acceptable use
You agree not to:
- Use SchoolOS for any purpose that is unlawful under Nigerian law.
- Attempt to bypass security measures, including authentication, rate limits, audit logging, or data isolation between schools.
- Upload content you do not have the legal right to upload, or content that infringes on a third party's rights.
- Use the platform to process payments for goods or services unrelated to legitimate school fees.
- Reverse-engineer, decompile, or copy any part of the SchoolOS source code except as permitted by Nigerian law.
We may suspend or terminate accounts that violate these rules, retain logs in line with our Privacy Policy, and cooperate with law enforcement where required.
6. Data and confidentiality
Our handling of personal data is described in full in our Privacy Policy. In summary:
- School data uploaded to SchoolOS remains the school's property. Codivant acts as a data processor on the school's behalf.
- We will not disclose school data to any third party except as required by law, by court order, or as needed to operate the third-party services described in the Privacy Policy.
- Schools that terminate their accounts may request a data export before deletion.
7. Service availability
We aim for high availability but do not guarantee that SchoolOS will be uninterrupted or error-free. Scheduled maintenance is announced in advance where possible. We are not liable for service unavailability caused by force majeure, including but not limited to NEPA/PHCN power failures affecting school premises, internet service interruptions on the school's side, or upstream outages at our cloud providers.
8. Fees, billing, and termination
Codivant Limited does not charge schools a setup fee or recurring subscription. Our revenue comes from the platform fee on online payments described in section 3. Either party may terminate the agreement at any time:
- A school may terminate by emailing support@codivanttech.com and requesting account closure. We will provide a data export and delete the school's data within 90 days, subject to the financial-records retention rule in the Privacy Policy.
- Codivant may terminate or suspend a school's account with written notice for material breach of these Terms, suspected fraud, or extended non-use.
9. Limitation of liability
To the maximum extent permitted by Nigerian law, Codivant Limited's total aggregate liability to any school under or in connection with these Terms is limited to the total platform fees paid by that school to Codivant Limited in the twelve (12) months preceding the event giving rise to the claim.
Codivant is not liable for:
- Indirect, incidental, consequential, or special damages, including loss of profits or business interruption.
- Loss of data caused by force majeure or by the school's own failure to maintain account credentials.
- The acts or omissions of payment processors, telecom providers, or other third parties listed in our Privacy Policy.
- Disputes between schools and parents about the underlying fees, which remain the school's commercial responsibility.
10. Dispute resolution and governing law
These Terms are governed by the laws of the Federal Republic of Nigeria. The parties agree to attempt to resolve any dispute first by good-faith negotiation. If a dispute cannot be resolved within 30 days, it shall be referred to the exclusive jurisdiction of the High Court of Lagos State.
11. Changes to these Terms
We may update these Terms from time to time. When we do, the "Last updated" date at the top of this page will change. For material changes, we will notify school administrators by email at least 30 days before the new Terms take effect.
